Corporate Services
Harkom Corporate Services Limited provides incorporation and administration services for BVI Business Companies (BVI BCs). BVI BCs are exempt from all forms of taxation in the BVI and also have a number of other advantages, including:
- Information held on public record is limited to the company’s name, registration number, and the company’s registered agent. Particulars of directors and shareholders are not required to be held in the public domain;
- BCs may issue registered shares or bearer shares (although these must be held by an Authorised or Recognized Custodian).
- Additional types of companies including those limited by guarantee, with the option to issue or not to issue shares. Thus, there is no minimum issued share capital.
- A company needs to have only one director and one shareholder, which may be an individual or corporate body that may also be both. The director and/or shareholder may reside anywhere in the world.
- Where the sole shareholder and or director are one and the same, the company may appoint a “reserve” director;
- Annual government fees are US$450.00 per annum (for companies that are authorised to issue no more than 50,000 shares). For companies with a greater authorised number of shares the annual fees are (US)$1200.00; and
- There is no requirement for the public filing of annual financial statements. However, companies are obliged to maintain proper financial records.
As your Registered Agent, our services will include:
Incorporations
- Check availability and approval of required name(s) via on line access to the Registry of Corporate Affairs
- Preparation and submission of applications for incorporation of companies, subject to satisfactory completion of all due diligence requirements
- Forward incorporation certificates and other documents to client by courier upon receipt. A copy of the Certificate of Incorporation and front page of the Memorandum of Association will be sent by email as a PDF document.
- Harkom can also assist with the registration of BVI Limited Partnerships.
Administration Services
- Providing Registered Office and Registered Agent services;
- Maintaining Registers of Charges, Directors, and Shareholders for your company. The Registers of Shareholders and Directors are not public documents. Any party to a Charge has the option to register such Charge in the company’s register of charges which is a public document maintained at the Registry of Corporate Affairs;
- Filing changes to your company’s corporate documents, obtaining certificates of good standing, providing certificates of incumbency, company searches etc;
- Filing of all statutory documents and payment of annual fees,
- Arranging the continuation of foreign companies into the BVI, as well as arranging the continuation of existing BVI companies to a foreign jurisdiction;
- Assisting with the registration of Yachts at the BVI Shipping Registry;
- Assisting with the legalization of documents both locally in the BVI, as well as at foreign embassies;
- Assisting with the notarization of documents by one of our in-house notaries public;
- Arranging the opening of bank accounts and providing account signatory services;
- Preparing and Filing of documents effecting the merger of companies;
- Preparation of corporate resolutions and powers of attorney;
- Acting as company directors and shareholders through our subsidiary companies; Harkom Directors Limited and Harkom Shareholders Limited.
- Winding up and dissolution, commenced by shareholders, of solvent companies, and providing advice and recommendations on dealing with inactive companies.
Should Harkom be required to act as director(s) of a company, managerial control over all liquid assets of the company, including any bank and investment accounts will be required. In such instances, our due diligence requirements will be more extensive.
